Terms of Service — Kognific

IMPORTANT: This End User License Agreement (“Agreement”) is between you and Launchific LLC. Launchific LLC is solely responsible for the Kognific application and its content.

Licensed, Not Sold. The Kognific application is licensed, not sold, to you. Launchific LLC reserves all rights in and to the Licensed Application not expressly granted to you.

1. Agreement to Terms and Acknowledgement

By accessing or using Launchific LLC's website, products, or services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

For iOS Users: You acknowledge that Apple is not a party to this Agreement and is not responsible for the Licensed Application and its content. This Agreement may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions. Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement.

For Android Users: You acknowledge that Google is not a party to this Agreement and is not responsible for the Licensed Application and its content. Your use of the app is also subject to Google Play's Terms of Service.

2. Use License and Scope

Permission is granted to access and use our website, mobile applications, browser extension, and services for personal and professional academic use only. Launchific LLC grants you a limited, non-transferable, non-exclusive license to use the Kognific application on devices that you own or control.

Platform-Specific Terms:

iOS: License permitted on Apple-branded products as allowed by Apple Media Services Terms and Conditions, including Family Sharing or volume purchasing.
Android: License permitted on Android devices as allowed by Google Play Terms of Service.
Web: License permitted via supported web browsers.
Desktop: License permitted on desktop operating systems via the official Kognific desktop application.
Browser Extension: License permitted for the Kognific browser extension on supported browsers (Chrome, Edge, Safari).

Under this license you may not:

Modify or copy the materials
Use the materials for any commercial purpose outside of your own academic or professional research
Attempt to decompile or reverse engineer any software
Remove any copyright or proprietary notations
Transfer the materials to another person
Distribute or make the application available over a network where it could be used by multiple devices simultaneously
Transfer, redistribute, or sublicense the application
Use the application to provide research, analysis, or content generation services to third parties without authorization

These Terms also govern any updates or upgrades that replace or supplement the original application, unless an update is accompanied by a different agreement. If you sell or transfer a device to a third party, you must remove the application from that device before doing so.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your account credentials and for any activities under your account.

You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Your research sources, annotations, projects, synthesis documents, writing drafts, and settings are stored on secure cloud infrastructure and synchronized across your devices. If you delete your account, your data will be removed within 30 days. You are responsible for exporting any content you wish to retain before account deletion.

4. Maintenance and Support

Launchific LLC is solely responsible for providing any maintenance and support services with respect to the Kognific application. Platform providers (Apple, Google) have no obligation whatsoever to furnish any maintenance and support services with respect to the application.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Launchific LLC and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

In the event of any third-party claim that the application or your possession and use of the application infringes that third party's intellectual property rights, Launchific LLC, not platform providers, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

6. User Content

Our Service may allow you to upload, link, store, share, and otherwise make available certain information, text, graphics, audio, video, documents, or other material (“User Content”). You are responsible for the content you upload and its legality, reliability, and appropriateness.

You retain ownership of all research sources, annotations, notes, synthesis documents, writing drafts, and other content you create or upload to Kognific. You agree that Launchific LLC may collect and use technical data and related information to facilitate software updates, product support, and other services related to the application, provided it is in a form that does not personally identify you. You are responsible for ensuring you have the right to upload and process any content you add to Kognific. This includes academic papers, articles, textbook excerpts, lecture recordings, and other third-party materials. Your use of such materials through Kognific must comply with applicable copyright laws and your institution's policies on fair use.

7. Product Claims and Responsibilities

You acknowledge that Launchific LLC, not platform providers (Apple, Google), is responsible for addressing any claims relating to the application or your possession and/or use of the application, including but not limited to:

Product liability claims
Any claim that the application fails to conform to any applicable legal or regulatory requirement
Claims arising under consumer protection, privacy, or similar legislation

8. Prohibited Uses and Legal Compliance

You agree not to use the Service:

In any way that violates any applicable law or regulation
To harass, abuse, or harm another person
To impersonate or attempt to impersonate others
To engage in any automated use of the system
To attempt to gain unauthorized access to our systems
To upload content containing illegal material or activities
To use the AI features for generating harmful, offensive, or illegal content
To attempt to manipulate or exploit the AI processing system
To share or distribute other users' data without permission
To scrape, harvest, or collect content from web pages without authorization via the browser extension
To upload or process content that violates the intellectual property rights of others
To use Kognific to produce work that is misrepresented as entirely your own in contexts where AI-assisted research tools are prohibited

You represent and warrant that:

You are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country
You are not listed on any U.S. Government list of prohibited or restricted parties
You will comply with all applicable third-party terms of agreement when using the application
You have the legal right to upload and process all content you add to the application
You will use Kognific in compliance with your institution's academic integrity policies

9. Research Tool Disclaimer

IMPORTANT NOTICE: Kognific is an AI-powered research companion tool. It is not:

A professional research service or consultancy
An educational institution or accredited learning provider
A substitute for critical academic judgment or peer review
A medical, legal, or professional advisor
A guarantee of research quality, accuracy, or publication acceptance

The application provides tools for source management, AI-powered extraction, summarization, synthesis, and writing assistance. Any AI-generated content, including summaries, concept extractions, synthesis documents, literature reviews, gap analyses, and writing drafts, is for informational and research assistance purposes only. All AI-generated outputs should be independently verified, critically evaluated, and properly cited according to your institution's standards.

Kognific is a tool to support your research process, not to replace your own scholarly analysis and critical thinking. We are not responsible for any academic outcomes, publication decisions, or research conclusions based on your use of the application. You are solely responsible for the accuracy and integrity of your research.

10. Warranty and Disclaimer

Your use of our Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

The application will be error-free or uninterrupted
Data synchronization will always work perfectly
The application will meet your specific research needs
AI-generated summaries, extractions, or synthesis documents will always be accurate or complete
AI-processed content will preserve all nuances of the original sources
Citation generation will always be perfectly formatted or complete
Source extraction will capture all content from every document type

For iOS Users: In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever.

For Android Users: Refunds are handled according to Google Play's refund policies.

Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Launchific LLC's sole responsibility.

11. Limitation of Liability

In no event shall Launchific LLC, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL LAUNCHIFIC LLC BE LIABLE FOR:

Any losses resulting from research conclusions or academic outcomes
Loss of research sources, annotations, synthesis documents, or writing drafts
Errors in AI-generated summaries, extractions, or synthesis outputs
Inaccurate or incomplete citation generation
Failure to extract or process content from uploaded sources
Any academic, professional, or personal losses or damages

In no event shall Launchific LLC's total liability exceed fifty dollars ($50.00). Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

12. External Services

The application may enable access to Launchific LLC's and/or third-party services and websites (“External Services”). You agree to use External Services at your sole risk. Launchific LLC is not responsible for examining or evaluating the content or accuracy of any third-party External Services and shall not be liable for any such services.

Data displayed by the application or External Services is for general informational purposes only. Availability of External Services may vary by language or region and may be changed, suspended, removed, disabled, or limited at any time without notice or liability.

13. Data Privacy and Security

Maintaining the security of your devices
Exporting your content before account deletion if you wish to retain it
Protecting your account credentials
Enabling device-level security features (Face ID/Touch ID/Fingerprint/PIN)

14. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the application and destroy all copies. Your data stored on our cloud infrastructure will be deleted within 30 days of account deletion or termination.

15. Third-Party Beneficiary (iOS)

For iOS users: You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

16. Export Restrictions

You may not use or export the application except as authorized by United States law and the laws of the jurisdiction in which the application was obtained. In particular, but without limitation, the application may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on any U.S. Government list of prohibited or restricted parties.

16A. U.S. Government End Users

The application and related documentation are “Commercial Items,” consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation” as those terms are used in 48 C.F.R. 2.101, 12.212, and 227.7202. They are licensed to U.S. Government end users only as Commercial Items and with only those rights granted to all other end users under these Terms.

17. Governing Law

This Agreement shall be governed by the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Wyoming. Consumer Rights: Nothing in this section limits any non-waivable consumer rights you may have under the laws of your usual place of residence.

18. Changes to Terms

We reserve the right to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the “Last updated” date.

19. Subscriptions and Billing

If you purchase a subscription:

For iOS (Apple App Store)

Auto-Renewal: Your Apple ID will be charged at confirmation of purchase. Subscriptions auto-renew for the same period and price unless auto-renew is turned off at least 24 hours before the current period ends.
Manage/Cancel: You can manage your subscription and turn off auto-renew in Settings > [Your Name] > Subscriptions after purchase.
Renewal Charges: Your account will be charged for renewal within 24 hours prior to the end of the current period.
Free Trials: If offered, any unused portion of a free trial is forfeited when you purchase a subscription.
Price Changes: If subscription prices change, Apple may notify you and, if required, request consent before the change takes effect.
Refunds: Refunds are handled by Apple per Apple Media Services Terms; Launchific LLC does not issue refunds directly.

For Android (Google Play Store)

Auto-Renewal: Your Google account will be charged at confirmation of purchase. Subscriptions auto-renew unless cancelled at least 24 hours before the current period ends.
Manage/Cancel: You can manage your subscription in Google Play Store > Menu > Subscriptions.
Free Trials: If offered, any unused portion of a free trial is forfeited when you purchase a subscription.
Price Changes: If subscription prices change, Google may notify you and, if required, request consent before the change takes effect.
Refunds: Refunds are handled by Google per Google Play's refund policies; Launchific LLC does not issue refunds directly.

For Web Subscriptions

Auto-Renewal: Subscriptions auto-renew unless cancelled before the current period ends.
Manage/Cancel: You can manage your subscription in the application's Settings > Account section.
Payment: Processed through secure payment processors.
Refunds: Contact for refund requests. Refunds are provided at our discretion and in accordance with applicable law.

Plan Changes

If you upgrade your subscription, the new plan takes effect immediately. If you downgrade, the current plan remains active until the end of the billing period, at which point the lower plan takes effect. Upon downgrade, features and limits associated with the higher plan will no longer be available. If your usage exceeds the limits of the new plan (e.g., storage capacity, number of projects), you will need to reduce your usage to comply with the new plan's limits before the downgrade takes effect.

20. Credits System

Kognific operates on a credits-based system. Credits are consumed when you use AI-powered features within the application.

How Credits Work

Each subscription tier includes a monthly credits allocation that resets at the start of each billing cycle
Different operations consume different amounts of credits based on the complexity and resources required
Credits are non-transferable between accounts or workspaces
Unused credits do not roll over to the next billing cycle
Credit consumption is tracked per workspace

Operations That Consume Credits

Source extraction and processing (e.g., PDF text extraction, audio/video transcription)
AI-powered summarization and concept extraction
Cross-source synthesis (thematic analysis, literature reviews, gap analysis, methodology comparison)
AI-assisted writing and drafting
Ask AI conversations (single-source, project-level, and library-wide)

Operations That Do Not Consume Credits

Uploading and storing source files
Manual organization (projects, tags, reading status)
Citation generation and formatting
DOI and metadata lookup
Exporting content
Browsing and searching your library

Credit Allocation by Plan

Free: 100 credits per month
Plus: 1,500 credits per month
Pro: 5,000 credits per month
Max: 15,000 credits per month

Plan Limits and Feature Access

Each subscription tier includes usage limits beyond credits, such as file upload size, storage capacity, and number of projects. Certain features are available only on higher subscription tiers. Current plan limits and feature availability are displayed on our pricing page and may be updated from time to time. We will notify users of significant changes to feature access or limits within their current plan.

When your credits are exhausted, AI-powered features will be unavailable until your credits reset at the start of your next billing cycle. Core organizational features (uploading sources, managing projects, browsing your library, generating citations) remain available regardless of credit balance.

We reserve the right to adjust credit costs for specific operations as our AI infrastructure evolves. Any changes to credit pricing will be communicated in advance and will not affect credits already consumed.

21. AI Features and Processing

Kognific uses artificial intelligence to process and analyze your research sources. AI-powered features include source extraction, transcription, summarization, concept extraction, cross-source synthesis, writing assistance, and conversational Q&A.

Your Content and AI

Your uploaded sources are processed through third-party AI services for extraction, summarization, and analysis
Your content is used solely to provide the service to you and is not used to train AI models
AI processing results are stored in your workspace and are accessible only to you (and workspace members, if applicable)
You can use Kognific without AI features; core organizational functionality works independently

Disclaimers

AI-generated outputs are research assistance tools, not authoritative analysis
Summaries, extractions, and synthesis documents may contain inaccuracies, omissions, or misinterpretations
Always verify AI-generated content against original sources
AI outputs should be critically evaluated before inclusion in your own work
Citation formatting is generated automatically and should be checked for accuracy

Content Moderation

AI-generated responses are subject to automated safety filters that may block or modify outputs deemed harmful or inappropriate. These filters operate automatically and are not a guarantee that all AI outputs will be appropriate for every context. Files uploaded for AI processing are temporarily stored during processing and deleted from the AI service after processing is complete.

You acknowledge that AI responses are generated algorithmically and may contain errors. You are responsible for reviewing and verifying all AI-generated content before relying on it in your research or publications.

22. Fair Use Policy

While paid plans include expanded AI processing capabilities, these features are subject to our Fair Use Policy. This policy ensures quality service for all users and prevents abuse of the system.

Fair Use Means

Using AI features for your own academic research and scholarly work
Processing reasonable numbers of sources for your individual research projects
Normal usage patterns typical of an individual researcher or small research team
Using features as intended for organizing and analyzing your own research materials

NOT Fair Use (Prohibited)

Automated or bot-driven usage of AI features
Sharing your account or AI access with multiple users outside of authorized workspace members
Using the service for commercial content generation unrelated to academic research
Excessive API calls that degrade service quality for others (e.g., thousands of requests per hour)
Attempting to extract, scrape, or reverse-engineer the AI system
Using AI features for generating content unrelated to research and scholarship
Reselling or sublicensing access to AI features
Processing content on behalf of others outside your workspace
Using Kognific as a general-purpose AI tool rather than a research companion
Any usage that impacts system performance or other users' experience

Usage Monitoring

We may monitor usage patterns to ensure compliance with this Fair Use Policy. Excessive usage is determined at our sole discretion based on:

Comparison to typical user behavior
System resource consumption
Pattern of requests suggesting automated usage
Impact on service availability for other users
Credit consumption patterns relative to plan tier
Request frequency and rate patterns

To maintain service quality, we enforce rate limits on AI-powered features. If you exceed these limits, requests may be temporarily delayed or declined. Rate limits are applied per user and are designed to prevent system abuse while accommodating normal research workflows.

Enforcement

If we determine your usage violates this Fair Use Policy, we may:

Send you a warning with usage guidelines
Temporarily limit or throttle your AI requests
Require you to modify your usage patterns
Suspend AI features while maintaining other application access
Terminate your account for severe or repeated violations

We will make reasonable efforts to notify you before taking enforcement action, except in cases of severe abuse requiring immediate action to protect the service.

23. Workspaces and Teams

Kognific organizes all research data within workspaces. When you create an account, a personal workspace is automatically created for you. Your subscription plan, credit allocation, and storage are tied to your workspace.

Team Workspaces

Kognific supports team workspaces for collaborative research. Team workspaces allow multiple users to share sources, projects, and AI-processed content within a shared environment. Each team workspace assigns roles (Owner, Admin, Member, Viewer) that determine what actions a user may take within the workspace. Role permissions are described in our documentation and may be updated as the product evolves.

Data Ownership in Team Workspaces

Content uploaded or created within a team workspace belongs to the workspace, not to individual members
When a member leaves or is removed from a team workspace, content they contributed remains in the workspace
Members may export their own contributions before leaving a workspace
The workspace Owner is responsible for managing access to workspace content

Organization Responsibilities

If you create or administer a team workspace on behalf of an organization (such as a university, research group, or company):

You represent that you have the authority to bind your organization to these Terms
Your organization is responsible for the conduct of its workspace members
Your organization is responsible for ensuring that workspace members comply with these Terms and with applicable data protection laws
Credit consumption by all workspace members counts toward the workspace's monthly allocation

Lab Plan (Team/B2B)

The Lab plan is available for organizations and research teams with per-seat billing. The workspace Owner or Admin is responsible for managing seats. Adding or removing seats may affect billing in accordance with our subscription terms.

Workspace Deletion

Only the workspace Owner may delete a team workspace. Deleting a workspace permanently and irreversibly removes all content and files associated with it. All members will lose access upon deletion. Members are responsible for exporting any content they wish to retain before workspace deletion.

24. Eligibility

You must be at least 16 years old (or the minimum age of digital consent in your country, whichever is higher) to use the application. If you are under 16, you may not create an account or use the application. You represent and warrant that you meet this age requirement.

If you are between 16 and 18 years old, you may use the application only with the involvement of a parent or guardian.

25. Communications and Notifications

By creating an account, you may receive service-related emails or push notifications (e.g., account security alerts, processing completion notifications, credit usage alerts). You can control notification preferences in your device settings or application settings. Marketing communications, if any, require your consent and include an opt-out.

26. Browser Extension

If you use the Kognific browser extension (Chrome, Edge, Safari):

What the Extension Does

Captures web page content you explicitly choose to save as a source
Records the page URL, title, and access date for citation purposes
Saves captured content to your Kognific workspace
Allows you to select a destination project for captured sources

What the Extension Does NOT Do

Capture your browsing history
Access cookies, passwords, or form data
Collect any data you do not explicitly select
Run automatically without your action
Access content on pages you do not interact with

Your Control

The extension only activates when you explicitly trigger it
Authentication tokens are stored locally in your browser
You can remove the extension at any time
Captured content is subject to the same terms as other User Content

You are responsible for ensuring you have the right to capture and store content from web pages. Do not use the extension to capture copyrighted material without authorization or content that violates these Terms.

27. Open-Source and Third-Party Components

The application may include open-source or third-party software subject to separate licenses. To the extent of a conflict, those licenses govern your use of the relevant components.

28. Indemnification

You agree to defend, indemnify, and hold harmless Launchific LLC, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

(a) your use of the application
(b) your violation of these Terms
(c) your violation of any third-party rights, including intellectual property or privacy rights
(d) any content you submit through the application
(e) any losses claimed to result from your use of the application or research outcomes

29. Force Majeure

Launchific LLC will not be liable for any failure or delay in performance under these Terms which is due to fire, earthquake, flood, pandemic, government action, war, terrorism, network failures, or other causes beyond our reasonable control.

30. General Terms

Severability: If any provision is invalid, the remaining provisions remain in effect.
No Waiver: Failure to enforce a provision is not a waiver.
Assignment: You may not assign these Terms; we may assign them as permitted by law.
Survival: Sections relating to intellectual property, disclaimers, limitation of liability, and dispute terms survive termination.
Entire Agreement: These Terms are the entire agreement between you and us regarding the application.
